Terms of Service

These Terms of Service (“Terms”) are a legal agreement between CloudByte AI (“CloudByte”, “we”, “us”) and you or the organization you represent (“Customer”, “you”). By creating an account or installing the CloudByte PMS sync agent you agree to be bound by these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.

1. Definitions

• Service — the CloudByte PMS platform, including the web dashboard, API, sync agent software, and any related documentation.
• Sync agent — the lightweight software installed on developer machines that reads local AI session data and transmits it to CloudByte servers.
• Customer Data — all data uploaded to or collected by the Service on your behalf, including AI session metadata, prompts, git commit information, and usage statistics.
• Seat — a developer account with the sync agent installed. Administrators and reviewers who access only the dashboard without an agent are not counted as seats.
• Subscription Period — the period for which you have paid for the Service (monthly or annual).

2. Access and accounts

You must provide accurate account information and keep it up to date. You are responsible for all activity that occurs under your organization’s account. You must promptly notify us at hello@cloudbyte.ai if you suspect any unauthorised access.

You may not share API keys or credentials between individuals. Each seat must correspond to a real, individual developer.

3. Plans and free trial

The Service is offered under the following plans:

• Starter — free, limited to 5 seats. No credit card required.
• Team — paid, per-seat. Includes a 14-day free trial. No credit card required to start the trial. At the end of the trial, if no payment method is added, the organization moves to the Starter plan automatically.
• Enterprise — custom pricing, self-hosted option, dedicated support. Governed by a separate Order Form.
• Startup — Team plan at reduced pricing for eligible companies. Eligibility: founded within the last two years, under $5M total funding, fewer than 20 developers. The reduced rate applies for 12 months and then moves to standard Team pricing.

We reserve the right to modify plan pricing with 30 days’ notice. Price changes take effect at the start of your next Subscription Period.

4. Billing and payment

Team plan fees are billed at $15 per seat per month (monthly billing) or $10 per seat per month paid annually as a single upfront payment. Fees are non-refundable except where required by applicable law or as stated in these Terms.

Seat overages. We notify you by email when you reach 90% of your contracted seat count. Exceeding the limit does not immediately restrict access — additional seats are billed at your plan’s per-seat rate for that month. You can upgrade your seat count at any time.

Late payment. Invoices not paid within 14 days of the due date may result in suspension of the Service. We will give reasonable notice before suspension.

Taxes. All fees are exclusive of taxes. You are responsible for all applicable taxes, levies, or duties, excluding taxes based on CloudByte’s income.

5. Acceptable use

You agree not to:

• Use the Service to violate any applicable law, regulation, or third-party rights.
• Attempt to gain unauthorised access to any part of the Service, its infrastructure, or another customer’s data.
• Reverse-engineer, decompile, or otherwise attempt to extract the source code of the Service.
• Resell, sublicense, or otherwise make the Service available to third parties outside your organization without written permission.
• Use the Service to transmit malware, spam, or other harmful content.
• Interfere with or disrupt the integrity or performance of the Service or its supporting infrastructure.
• Circumvent any API rate limits or technical restrictions imposed by the Service.

We may suspend access immediately for material violations. We will give notice and an opportunity to cure where practicable.

6. Agent software

We grant you a non-exclusive, non-transferable, revocable license to install and use the sync agent on developer machines within your organization, solely for the purpose of using the Service during an active Subscription Period.

The sync agent automatically downloads updated versions from our servers before each run. This ensures all users in your organization receive security and compatibility updates without manual intervention. You consent to this automatic update mechanism by installing the agent.

7. Your data

You retain all ownership of Customer Data. By using the Service, you grant CloudByte a limited, non-exclusive license to store, process, and display Customer Data solely to provide the Service to you.

We do not use Customer Data — including AI prompt text, commit content, or session information — to train AI models, build products for other customers, or for any purpose other than operating and improving the Service for your organization.

Data on termination. Within 30 days of account termination or contract end, we will delete all Customer Data from our systems. You may request an export of your data before this period ends by emailing hello@cloudbyte.ai.

8. Confidentiality

Each party agrees to keep confidential the other’s non-public information disclosed in connection with the Service (“Confidential Information”). Confidential Information does not include information that: (a) becomes publicly known through no fault of the recipient; (b) the recipient already knew before disclosure; (c) is independently developed without reference to the disclosing party’s information; or (d) must be disclosed by law, provided the recipient gives prompt notice where permitted.

Customer Data is your Confidential Information. We treat it accordingly.

9. Intellectual property

CloudByte retains all right, title, and interest in and to the Service, including all underlying software, algorithms, interfaces, and documentation. Nothing in these Terms grants you any right in the Service beyond the limited use license described herein.

If you submit feedback or suggestions about the Service, we may use that feedback without restriction or obligation to you.

10. Service availability and SLA

We target 99.5% monthly uptime for the API and dashboard on Team and Enterprise plans. Scheduled maintenance, events outside our reasonable control (force majeure), and issues caused by your own infrastructure are excluded from uptime calculations.

The sync agent is designed to be resilient to server downtime — data accumulates locally in the developer’s SQLite database and is transmitted when the Service is available again. No data is lost during outages.

11. Disclaimers

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, CloudByte disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

AI-generated summaries and insights produced by the Service are informational only. They do not constitute professional advice and may contain inaccuracies. You are responsible for validating AI output before acting on it.

12. Limitation of liability

To the maximum extent permitted by applicable law, CloudByte’s aggregate liability to you arising out of or related to these Terms or the Service shall not exceed the fees paid by you in the 12 months preceding the claim.

Neither party shall be liable for indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profits, goodwill, or data, even if advised of the possibility of such damages.

13. Indemnification

You agree to indemnify and hold harmless CloudByte and its officers, employees, and contractors from any claim, demand, or damages (including reasonable legal fees) arising from: (a) your violation of these Terms; (b) your misuse of the Service; or (c) Customer Data that infringes a third party’s rights.

14. Termination

By you. You may cancel your subscription at any time from your account settings or by emailing us. Cancellation takes effect at the end of the current Subscription Period. We do not provide pro-rated refunds for unused time on annual plans except where required by law.

By CloudByte. We may terminate or suspend your account immediately for material violations of these Terms, non-payment, or if required by law. For non-material breaches, we will give 14 days’ notice and an opportunity to cure. On termination for convenience by CloudByte (i.e. not for cause), we will refund prepaid fees for the unused portion of the Subscription Period.

Sections 7 (Your data), 8 (Confidentiality), 9 (IP), 12 (Limitation of liability), 13 (Indemnification), and 15 (Governing law) survive termination.

15. Governing law and disputes

These Terms are governed by the laws of India. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra, India.

If you are located in the European Union or United Kingdom, nothing in these Terms limits your mandatory statutory rights under applicable consumer or data protection law.

16. Changes to these Terms

We will provide at least 14 days’ notice of material changes by email to the organization admin. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. For non-material changes (corrections, clarifications, new plan descriptions), we may update immediately and will note the change date at the top of this page.

17. General

These Terms, together with any applicable Order Form, constitute the entire agreement between you and CloudByte regarding the Service and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions remain in full force. Failure to enforce any provision does not constitute a waiver. Neither party may assign these Terms without the other’s written consent, except CloudByte may assign in connection with a merger, acquisition, or sale of substantially all assets.
